Image & Content Release

This Image & Content Release Agreement (the "Agreement") is entered into as of the below date, by and between The Luxe List Atlanta, LLC ("Company"), and Persona/Business ("Influencer/Business"), indicated below.

WHEREAS, the Company engages in various editorial, promotional and marketing activities, including but not limited to social media campaigns, online advertisements, and print materials;

WHEREAS, the Influencer/Business possesses certain images, photographs, and visual content ("Images") that may be used by the Company in its social media and editorial content.

WHEREAS, the Company and Influencer/Business desire to establish the terms and conditions under which the Company may use the Influencer's Images & content in a positive context On The Luxe List and/or The Luxe List Atlanta social media channels and digital and/or print articles.

NOW, THEREFORE, in consideration of the premises and mutual covenants contained herein, the parties agree as follows:

Grant of Rights: Influencer hereby grants the Company a non-exclusive, license to use, modify with approval, and publicly display the Images for any positive approved purpose.

Use of Images: The Company will use the Images in 1 social media post, and 1 article featuring The Influencer/Business.
Confidentiality: Influencer/Business shall treat any confidential or proprietary information disclosed by the Company as confidential and shall not disclose such information to any third party without the Company's prior written consent and vise versa.
Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of laws principles. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Atlanta, Georgia.
Entire Agreement: This Agreement constitutes the entire understanding between the parties relating to the subject matter hereof and supersedes all prior discussions, understandings, or agreements, whether oral or written.
Approval: The Company agrees to get approval from The Influencer/Business before the release of any completed article and social media distribution.
IN WITNESS WHEREOF, the parties have executed this Image & Content Release Agreement as of the date identified below.

You consent to receive electronic communications and notices from the Company related to this Agreement, including but not limited to email notifications. You understand that you have the right to request a paper copy of this Agreement. You may do so by contacting the Company in writing. You agree to promptly update your contact information if there are any changes, to ensure the Company can communicate with you electronically. You understand that you may withdraw your consent to conduct business electronically at any time. However, such withdrawal may result in the termination of your rights and obligations under this Agreement.
